License Agreement

This License Agreement ("Agreement") is entered into as of the date of acceptance by the licensee ("Licensee"), by and between Dexter Enterprise Solutions, LLC doing business as Appasaurus ("Licensor"), an Arizona limited liability company, having its principal place of business in Tempe, Arizona, USA, and the Licensee.

1. Grant of License

Subject to the terms and conditions of this Agreement, Licensor hereby grants Licensee a limited, non-exclusive, non-transferable, and revocable license to access and use the online training course(s) ("Course(s)") provided by Licensor solely for personal or internal business purposes.

2. Ownership and Intellectual Property

2.1. Ownership. The Course(s), including but not limited to all content, materials, documentation, videos, graphics, text, software, and any other elements provided as part of the Course(s) (collectively, "Content"), are the sole and exclusive property of Licensor.

2.2. Intellectual Property Rights. All rights, title, and interest in and to the Content, including all copyrights, trademarks, trade secrets, and other intellectual property rights, are and shall remain with Licensor. No ownership rights are transferred to Licensee under this Agreement.

3. Restrictions on Use

3.1. Licensee shall not:
(a) Copy, reproduce, distribute, or modify the Content;
(b) Sell, lease, sublicense, assign, or otherwise transfer the Content or access to the Course(s);
(c) Create derivative works based on the Content;
(d) Use the Content for any commercial purposes beyond the internal business use permitted under this Agreement;
(e) Remove or alter any copyright, trademark, or other proprietary notices from the Content.

4. Term and Termination

4.1. Term. This Agreement is effective as of the date of acceptance and shall continue until terminated.

4.2. Termination. Licensor may terminate this Agreement immediately if Licensee breaches any term of this Agreement. Licensee may terminate this Agreement by discontinuing use of the Course(s) and notifying Licensor.

4.3. Effect of Termination. Upon termination, Licensee must immediately cease all use of the Content and destroy all copies, whether in physical or electronic form.

5. Disclaimers and Limitation of Liability

5.1. Disclaimer. The Course(s) are provided "AS IS" without any warranties of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.

5.2. Limitation of Liability. To the fullest extent permitted by law, Licensor shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, arising from Licensee’s use of the Course(s) or Content.

6. Governing Law and Dispute Resolution

6.1. This Agreement shall be governed by and construed in accordance with the laws of the State of Arizona, USA without regard to its conflict of laws principles.

6.2. Any disputes arising out of or related to this Agreement shall be resolved through binding arbitration in [city, state], in accordance with the rules of the American Arbitration Association.

7. Miscellaneous

7.1. Entire Agreement. This Agreement constitutes the entire agreement between the parties and supersedes all prior agreements or understandings, whether written or oral, regarding the subject matter herein.

7.2. Amendments. This Agreement may only be amended or modified in writing signed by both parties.

7.3. Severability. If any provision of this Agreement is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

7.4. No Waiver. The failure of Licensor to enforce any provision of this Agreement shall not constitute a waiver of future enforcement of that or any other provision.

By accessing or using the Course(s), Licensee acknowledges that they have read, understood, and agree to be bound by this Agreement.
